Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern access to and use of the website located at https://www.dolfinai.co/ and any related software, applications, APIs, and services (collectively, the “Services”) provided by Dolfin Technologies Ltd. (“DolfinAI”, “we”, “us”, or “our”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

2. Scope and Application

The Services are made available to:

  • Business entities that integrate or utilise the Services within their own products, systems, or operations (“Customers” or “Platforms”); and
  • Small and medium-sized businesses or other end users that access the Services directly or via a Platform (“End Users” or “SMBs”).

These Terms apply to all users of the Services. Where the Services are accessed via a Platform, these Terms apply in addition to any agreement between the Platform and its End Users. In the event of conflict, the agreement between the Platform and its End Users shall govern their relationship, and these Terms shall govern the relationship with DolfinAI.

3. Description of Services

DolfinAI provides software, APIs, and technical infrastructure designed to enable financial operations, workflow automation, and data processing through artificial intelligence systems (the “Services”).

The Services may include, without limitation:

  • AI-driven agents and tools that generate operational or financial insights;
  • APIs and embedded components enabling integration into third-party platforms;
  • Data processing, enrichment, and workflow automation capabilities; and
  • Interfaces and dashboards for accessing and managing outputs.

DolfinAI does not provide regulated financial services and does not act as a bank, payment institution, broker, or fiduciary.

DolfinAI may, at its sole discretion and without liability, modify, update, suspend, restrict, or discontinue any part of the Services, including features, functionality, or availability.

4. No Reliance; No Financial Advice

The Services are provided for informational and operational purposes only.

DolfinAI does not provide, and nothing within the Services shall be construed as, financial, investment, legal, or tax advice.

You acknowledge and agree that:

  • Outputs, insights, or recommendations generated by the Services are based on automated processes and may be incomplete, inaccurate, or not reflective of current conditions;
  • You are solely responsible for evaluating and verifying any outputs before relying on them; and
  • DolfinAI shall not be responsible for any decisions made or actions taken based on the Services.

Nothing within the Services constitutes a recommendation, endorsement, or solicitation in respect of any financial product, transaction, or strategy.

5. Platform Integration and Responsibilities

Where the Services are integrated into or made available through a Platform, the Platform shall be solely responsible for:

  • Its relationship with End Users;
  • Ensuring that End Users are provided with appropriate disclosures regarding the nature and limitations of the Services;
  • Compliance with all applicable laws and regulations, including financial services, consumer protection, and data protection laws;
  • The manner in which the Services are configured, presented, or used within its platform; and
  • All outputs, decisions, or actions arising from End User use of the Services.

DolfinAI provides infrastructure only and does not assume any direct relationship with End Users unless expressly agreed in writing.

6. Accounts, Access, and User Obligations

6.1 Account Registration

Access to certain features of the Services may require the creation of an account.

Users (including both Platforms and SMBs) agree to:

  • Provide accurate, complete, and up-to-date information at all times;
  • Maintain and promptly update such information as necessary; and
  • Ensure that account registration and use complies with applicable laws.

6.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of login credentials;
  • Restricting access to your account; and
  • All activities conducted through your account, whether authorised or not.

You must notify DolfinAI immediately of any unauthorised access or suspected security breach.

6.3 Platform-Specific Obligations

Where you are a Platform:

  • You shall ensure that access to the Services is restricted to authorised users only;
  • You shall implement appropriate security, authentication, and access controls; and
  • You remain responsible for all actions taken by your End Users in connection with the Services.

6.4 Suspension and Access Control

DolfinAI reserves the right to suspend, restrict, or terminate access to the Services, in whole or in part, where:

  • There is a breach of these Terms;
  • There is a risk to the security, integrity, or availability of the Services; or
  • Such action is required to comply with applicable law or regulatory requirements.

7. Acceptable Use

You shall not, and shall not permit any third party to:

  • Use the Services for unlawful, fraudulent, or deceptive purposes;
  • Interfere with or disrupt the integrity, performance, or security of the Services;
  • Attempt to gain unauthorised access to systems or data;
  • Reverse engineer, decompile, or otherwise attempt to derive source code;
  • Use the Services to develop or provide a competing product or service; or
  • Misrepresent outputs generated by the Services.

8. Data and Integrations

The Services may process data provided by you or accessed through integrations with third-party systems.

You represent and warrant that:

  • You have obtained all necessary rights, permissions, and consents to provide such data;
  • Your use of the Services complies with applicable data protection and privacy laws; and
  • You shall not provide data that is unlawful, infringing, or otherwise inappropriate.

DolfinAI may rely on third-party providers for data processing and integrations. DolfinAI does not control and is not responsible for the accuracy, availability, or performance of such third-party services.

DolfinAI's processing of personal data is governed by its Privacy Policy.

9. Fees and Payment

Where applicable:

  • Access to the Services may be subject to subscription or usage-based fees;
  • Fees shall be payable in accordance with agreed pricing terms;
  • Unless otherwise agreed, all fees are non-refundable; and
  • DolfinAI reserves the right to update pricing upon reasonable notice.

10. Intellectual Property

All intellectual property rights in and to the Services, including but not limited to:

  • Software, source code, and object code;
  • Algorithms, models, and AI systems;
  • APIs, documentation, and technical materials;
  • Interfaces, designs, and content; and
  • Trademarks, logos, and branding,

are and shall remain the exclusive property of DolfinAI or its licensors.

No rights are granted to you other than a limited, non-exclusive, non-transferable, revocable licence to access and use the Services in accordance with these Terms.

You shall not:

  • Copy, reproduce, modify, or create derivative works of the Services;
  • Remove or alter any proprietary notices; or
  • Use DolfinAI's intellectual property except as expressly permitted.

Any feedback, suggestions, or improvements provided by you may be used by DolfinAI without restriction or obligation.

11. Confidentiality

Each party agrees to keep confidential any non-public, proprietary, or sensitive information disclosed in connection with the Services (“Confidential Information”).

Confidential Information includes, without limitation:

  • Technical, operational, or architectural details of the Services;
  • Product roadmaps, pricing, or commercial terms; and
  • Any data or materials designated as confidential.

The receiving party shall:

  • Use Confidential Information solely for the purpose of using the Services;
  • Not disclose such information to any third party without prior written consent; and
  • Implement appropriate safeguards to protect such information.

These obligations shall not apply to information that:

  • Is publicly available through no fault of the receiving party;
  • Was lawfully obtained from a third party; or
  • Is required to be disclosed by law or regulatory authority.

12. Third-Party Services

The Services may incorporate, rely upon, or interoperate with third-party services, including financial data providers, APIs, or infrastructure providers.

DolfinAI:

  • Does not control or operate such third-party services;
  • Does not guarantee their availability, accuracy, or performance; and
  • Shall not be liable for any loss, damage, or disruption arising from their use or failure.

Your use of third-party services is subject to the applicable terms of those providers.

13. Disclaimer of Warranties

The Services are provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, DolfinAI disclaims all warranties, whether express or implied, including:

  • Accuracy, completeness, or reliability of outputs;
  • Fitness for a particular purpose;
  • Non-infringement; and
  • Uninterrupted or error-free operation.

14. Limitation of Liability

To the fullest extent permitted by law, DolfinAI shall not be liable for:

  • Any indirect, incidental, special, or consequential damages;
  • Loss of profits, revenue, data, or business opportunities; or
  • Any decisions or actions taken based on the Services.

DolfinAI's total aggregate liability shall not exceed the amount paid by you in the twelve (12) months preceding the claim.

Nothing in these Terms excludes liability which cannot be excluded under applicable law.

15. Indemnification

You shall indemnify and hold harmless DolfinAI from and against any claims, liabilities, damages, or expenses arising from:

  • Your use of the Services;
  • Your breach of these Terms; or
  • Your integration or deployment of the Services.

16. Termination

DolfinAI may suspend or terminate access to the Services at any time where:

  • There is a breach of these Terms;
  • Required for legal or regulatory reasons; or
  • Necessary to protect the integrity or security of the Services.

You may terminate your use of the Services in accordance with any applicable contractual notice periods or termination provisions agreed between you and DolfinAI, or, where no such agreement exists, upon reasonable prior notice.

17. Changes to Terms

DolfinAI may update these Terms from time to time.

Continued use of the Services following any update constitutes acceptance of the revised Terms.

18. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction over any dispute arising in connection with these Terms.
